By accessing or using the ZeroHour™ website at zerohour.villeroyreserve.com (the "Site") and any related services, platform features, or intelligence products (collectively, the "Services") provided by Villeroy Reserve Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Services.

ZeroHour™ is a pre-impact intelligence platform designed to help institutions identify converging cyber, legal, reputational, and governance exposure before it becomes public, disclosed, or priced in. The platform provides analytical tools, intelligence reports, and risk assessments for qualifying institutional clients.

ZeroHour is not a security product, legal service, financial advisor, or insurance provider. The intelligence and analysis provided through our Services are for informational purposes only and should not be construed as legal, financial, or investment advice.

Access to the ZeroHour platform and its intelligence capabilities is restricted to qualifying institutional clients. We reserve the right to approve, deny, or revoke access at our sole discretion. Submission of a demo request or inquiry does not guarantee access to the platform.

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

By using our Services, you agree to:

• Provide accurate, current, and complete information when submitting inquiries or creating accounts
• Maintain the confidentiality of any access credentials provided to you
• Use the Services only for lawful purposes and in accordance with these Terms
• Not attempt to gain unauthorized access to any portion of the Services or related systems
• Not reproduce, distribute, or disclose any proprietary intelligence, reports, or analysis obtained through the Services without prior written consent
• Not use the Services to engage in any activity that could harm, disable, or impair the platform

All content, features, functionality, trademarks, trade names, logos, and intellectual property displayed on or through the Services — including but not limited to ZeroHour™, Prophfesy™, and all associated branding — are owned by Villeroy Reserve Inc. or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. This license does not include the right to modify, reproduce, distribute, or create derivative works based on the Services or any content therein.

Any intelligence, analysis, reports, or proprietary information provided through the Services is confidential and intended solely for the authorized recipient. You agree not to disclose, share, or distribute any such information to third parties without our prior written consent. This obligation survives termination of your access to the Services.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any intelligence or analysis provided will be complete, accurate, or timely. You acknowledge that decisions made based on information obtained through the Services are made at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VILLEROY RESERVE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Villeroy Reserve Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

We may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to confidentiality obligations, intellectual property rights, disclaimers, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in the State of Delaware.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.
